The ICAV
MetLife Investment Management UCITS ICAV (the "ICAV") is an open-ended umbrella Irish collective asset-management vehicle registered on 22 December 2022 with segregated liability between sub-funds formed in Ireland under the Irish Collective Asset-management Vehicles Act 2015 and authorised by the Central Bank of Ireland as a UCITS on 17 July 2023 pursuant to the European Communities (Undertakings for Collective Investment in Transferable Securities) Regulations, 2011 as amended by the European Communities (Undertakings for Collective Investment in Transferable Securities) (Amendment) Regulations 2016 and as may be further amended, supplemented or replaced from time to time (the "Regulations").
The ICAV has segregated liability between its sub-funds (each a “fund”) and, accordingly, any liability incurred on behalf of or attributable to any fund shall be discharged solely out of the assets of that fund.

The inclusion of an offering legend in respect of the UK does not imply that an offering or placement of any interest in the UCITS Fund has been or will be made to or with UK Investors; any such offering or placement will be made only where: (i) this is permitted under national law; and (ii) the UCITS Fund, if applicable, complies with all relevant procedural and substantive obligations relating to the offering or placement of Shares.
B. Obligations under the FSMA
