SRD II Statement

MetLife Investment Management Europe Limited (the “Company”)

Statement in Relation to the Directive (EU) 2017/828 of the European Parliament and of the Council of 17 May 2017 amending Directive 2007/36/EC as regards the encouragement of long-term shareholder engagement (the “Shareholder Rights Directive II” or “SRD II”)

SRD II requires institutional investors and asset managers to develop and publicly disclose a shareholder engagement policy, and publicly disclose annually how that engagement policy has been implemented, or alternatively disclose a clear and reasoned explanation why they have chosen not to do so.

As the Company does not currently (nor will in the near future) have any funds or portfolios under its management which invest in companies the shares of which are admitted to trading on a regulated market situated or operating within a member state of the European Economic Area (EEA) nor does it invest directly in shares traded on an regulated market in the EEA, the Company has chosen not to develop a shareholder engagement policy.

The Company will keep under review its compliance with the requirements of SRD II and, should it become necessary, develop a shareholder engagement policy and make the necessary public disclosures in respect of it.

This statement should be considered as the Company’s public disclosure of a clear and reasoned explanation why the Company has chosen not to develop and publicly disclose a shareholder engagement policy for the purposes of Article 3g(1) of SRD II.;
